User Agreement and Terms of Service

This User Agreement and Terms of Service (the "Agreement") govern your use of NetsysAI's services, which encompass the Netsysai.com website (the "Site"), the NetsysAI API, the NetsysAI tunneling service, the NetsysAI client software, and all other software or services provided by NetsysAI in conjunction with the aforementioned services, collectively referred to as the "NetsysAI Services" or the "Services." For the purposes of this Agreement, "NetsysAI" denotes the entity responsible for operating and distributing the NetsysAI software and services.

Your use of the Services is contingent upon your acceptance of this Agreement. By utilizing the NetsysAI Services, you signify your acknowledgment and agreement to these terms. NetsysAI will consider your utilization of any portion of the Services as your acceptance of and adherence to this Agreement from that moment forward.

NetsysAI retains the right to modify this Agreement at its discretion. Notice of any substantive changes to this Agreement will be provided within the NetsysAI service dashboard. NetsysAI will furnish at least seven (7) days' notice prior to the implementation of such changes, during which you have the option to reject the modifications by discontinuing your account.

NetsysAI reserves the right to immediately terminate or suspend access to the Services without prior notice or liability (excluding the refunding of pre-paid fees, provided such termination is not a result of your actions or omissions). Reasons for such termination include, but are not limited to, a breach of any provision within this Agreement. Provisions of this Agreement that, by their nature, should persist after termination will endure, encompassing ownership terms, warranty disclaimers, indemnifications, and limitations of liability.

Use of Services

You are not permitted to use the Services if you are a person legally barred from receiving them, as per the laws of the India or any other applicable jurisdictions, including your country of residence or use. Please be aware that the NetsysAI Services are not intended for individuals under the age of 14.

Registration and Your NetsysAI Account

Certain NetsysAI Services require registration and the creation of an account with NetsysAI. If you establish a NetsysAI account, you are responsible for providing accurate and complete registration information. Furthermore, you are obliged to maintain the security of your account, including your passwords and authentication tokens. You are fully accountable for all actions and activities carried out using your account, as well as any other activities associated with your account. In case of unauthorized use of your account or any security breaches, you must promptly inform NetsysAI. NetsysAI shall not be held liable for any actions or omissions on your part, and you are responsible for any resulting damages. Information you furnish to NetsysAI for account creation and maintenance is subject to the NetsysAI Privacy Policy.

Responsibility and Conduct

You are solely responsible for the actions of all users operating under your account and for any data created, stored, displayed, or transmitted through your account while utilizing NetsysAI. You must not engage in any activities that disrupt or interfere with the Services or networks connected to NetsysAI.

Except where otherwise stated on the Site, the Site, along with all its content and materials, including but not limited to designs, text, graphics, images, information, data, software, audio files, and other files, collectively known as the "Site Materials," is the exclusive property of NetsysAI or its licensors and is protected by India and international copyright laws. You are granted a limited, non-sublicensable license for accessing and utilizing the Site and the NetsysAI Site Materials exclusively in connection with the Services. This license is subject to the terms of this Agreement and does not encompass: (a) any resale or commercial exploitation of the Site or the Site Materials contained therein; (b) the distribution, public performance, or public display of any Site Materials, except as explicitly authorized in connection with your legitimate use of the Site and the Services; (c) the modification or creation of derivative works from the Site or Site Materials, or any portion thereof; (d) the use of data mining, robots, page scraping, or similar methods for data collection or extraction; (e) the reverse engineering or any attempt at reverse-engineering the functionality provided on the Site or Site Materials; (f) the use of the Site or the Site Materials for any purpose other than their intended use.

Trademarks

The trademarks "NetsysAI" and any other product or service names or slogans present on the Site are the property of NetsysAI and its suppliers or licensors, unless otherwise indicated. These trademarks may not be copied, imitated, or used in whole or in part without prior written consent from NetsysAI or the relevant trademark holder. The look and feel of the Site, including all page headers, custom graphics, button icons, and scripts, constitute the service mark, trademark, and/or trade dress of NetsysAI and may not be copied, imitated, or used in whole or in part without prior written permission from NetsysAI. Mention of any products, services, processes, or other information, by trade name, trademark, manufacturer, supplier, or otherwise, does not imply or constitute endorsement, sponsorship, or recommendation by

NetsysAI.

Third Party Content

NetsysAI may incorporate data provided by third parties into the content on the Site and in the Services. Additionally, NetsysAI may furnish links to web pages and content hosted by third parties, collectively termed as the "Third Party Content," as a service to users seeking this information. NetsysAI does not monitor or exercise control over any Third Party Content or third-party websites. NetsysAI does not guarantee the accuracy of the information contained in these third-party sources and is not responsible for reviewing or updating Third Party Content. Users access these links and Third Party Content at their own risk. Upon departing the Site, users must recognize that the terms and policies of NetsysAI no longer apply. It is imperative to review the relevant terms, policies, including those regarding privacy and data collection practices, of any site you access from the Site. To the extent that you are permitted to post Third Party content on the Site, you must abide by the terms of service and/or end-user license agreements established by these third parties. Furthermore, you warrant that you possess the rights to post Third Party content on the site and indemnify NetsysAI from any damages arising from posting this Third Party content on the site.

Acceptable Use

The following activities are considered prohibited usage and will result in immediate account suspension or cancellation, without a refund, and may result in NetsysAI imposing fees and pursuing civil remedies without prior notice:

The NetsysAI Services may only be used for lawful purposes. Transmission, distribution, or storage of any information, data, or material that violates India or state regulations, laws, or common law is strictly prohibited. This includes, but is not limited to, materials protected by copyright, trademark, trade secret, or other intellectual property rights. The Services must not be used to facilitate any form of infringement on these laws.

NetsysAI upholds the intellectual property rights of others and expects users of the NetsysAI website and Services to do the same. All content, including works subject to copyright, trademarks, service marks, and patentable inventions, on the NetsysAI website is the property of NetsysAI or its licensors, unless explicitly stated otherwise. The use of the Site, other than reviewing content with a conventional Internet browser, does not grant any right, title, or interest in the content, which is strictly prohibited.

If you believe your work has been copied on the NetsysAI Site in a manner constituting copyright infringement, please provide a "Notification of Alleged Infringement" to NetsysAI's Copyright Agent. Detailed instructions and requirements for a Notification of Alleged Infringement are available on the India Copyright Office Website at http://www.copyright.gov.netsysai has a policy to respond to clear Notifications of Alleged Infringement.

Fees and Payment

Certain Services are provided on a fee basis. By utilizing the Services, you agree to pay NetsysAI the fees associated with each Service, in accordance with the pricing and payment terms presented to you. By doing so, you authorize NetsysAI to charge your credit card at the intervals stipulated in the pricing and payment terms for each Service. In the event of an account being more than five days overdue, the Services may be temporarily suspended. Fees paid to NetsysAI are non-refundable, except in circumstances defined by these Terms or as required by law. Accounts that cannot be collected by NetsysAI may be referred to an external collection agency for recovery. You have the liberty to cancel your usage of the Services at any time as indicated in our dashboard. In this case, you will receive a pro-rata credit for any pre-paid fees.

The Terms outline that specific NetsysAI Services are provided without charge up to certain specified limits. Usage exceeding these limits mandates the purchase of additional resources or services. You acknowledge that NetsysAI has the right to prospectively alter the specified rates and charges from time to time. NetsysAI is not responsible for any additional bank fees, interest charges, finance fees, overdraft fees, or other charges resulting from the fees billed by NetsysAI. Currency exchange settlements will be governed by agreements between you and your credit card provider.

EXCLUSION OF WARRANTIES

You explicitly comprehend and agree that your use of the Service is at your own risk, and the Services are provided "as is" and "as available."

The limitations set forth in this Agreement do not exclude or limit NetsysAI's liability or warranty for losses that cannot be lawfully excluded or limited by applicable law.

NETSYSAI MAKES NO EXPRESS WARRANTIES AND DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES REGARDING THE SERVICES, INCLUDING EXPRESS AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, NETSYSAI DOES NOT REPRESENT OR WARRANT TO YOU THAT: (A) YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERROR.

LIMITATION OF LIABILITY

You explicitly comprehend and agree that NetsysAI shall not be liable to you under any legal theory for any direct, indirect, incidental, special, consequential, or exemplary damages incurred by you, however caused and under any theory of liability. This encompasses but is not limited to any loss of profit, loss of goodwill, loss of business reputation, loss of data, costs associated with acquiring substitute goods or services, or other intangible losses.

To the extent that our liability cannot be so limited, you acknowledge that NetsysAI's liability under any legal theory may not exceed an amount equivalent to the charges actually paid by you for Services during the six-month period preceding the event giving rise to such liability. In no event shall NetsysAI be liable for any special or consequential damages. These limitations on NetsysAI's liability apply regardless of whether NetsysAI was advised or aware of the possibility of such losses.

General Representation and Warranty

You represent and warrant that your use of the NetsysAI website and Services will comply with the NetsysAI.com Privacy Policy, this Agreement, and all applicable laws and regulations, including but not limited to local laws and regulations in your country, state, city, or any other governmental jurisdiction. This compliance extends to laws pertaining to online conduct and acceptable content, as well as all applicable laws governing the transmission of technical data exported from the India or your country of residence.

INDEMNIFICATION

You agree to defend, hold harmless, and indemnify Netsys AI, its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers, or partners from any third-party claims arising from or related to (A) your breach of this Agreement; (B) your use of the Services; (C) your violation of applicable laws, rules, or regulations in connection with the Services; or (D) content made available via your tunnels. You further agree to indemnify NetsysAI against any claims, losses, damages, suits, judgments, litigation costs, and attorney's fees, of every kind and nature, resulting from such claims, including any liability or expenses stemming from such claims.

Notice

You consent to NetsysAI providing you with notices, including those related to changes in the Terms, through email, regular mail, or postings on the NetsysAI website.

Entire Agreement

The Terms, which may encompass policies, guidelines, or amendments provided to you from time to time, constitute the entire agreement between you and NetsysAI. This Agreement governs your use of the NetsysAI Services and supersedes any prior agreements between you and NetsysAI pertaining to the use of NetsysAI Services.

Waiver and Severability of Terms

The failure of NetsysAI to exercise or enforce any right or provision of the Terms will not constitute a waiver of such right or provision. If a court of competent jurisdiction deems any provision of the Terms invalid, the parties agree that the court should attempt to uphold the parties' intent as reflected in the provision. All other provisions of the Terms will remain in full force and effect.

Statute of Limitations

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising from or related to the use of NetsysAI Services or the Terms must be filed within one (1) year after the claim or cause of action arises, or it will be forever barred.
